国务院关于修改《中华人民共和国外资保险公司管理条例》和《中华人民共和国外资银行管理条例》的决定

Decision of the State Council to Amend the Regulation of the People's Republic of China on the Administration of Foreign-Funded Insurance Companies and the Regulation of the People's Republic of China on the Administration of Foreign-Funded Banks

为进一步扩大金融业对外开放，国务院决定对《中华人民共和国外资保险公司管理条例》和《中华人民共和国外资银行管理条例》部分条款予以修改。

For the purposes of further expanding opening up in the financial industry, the State Council has decided to amend some clauses of the Regulation of the People's Republic of China on the Administration of Foreign-Funded Insurance Companies and the Regulation of the People's Republic of China on the Administration of Foreign-Funded Banks.

一、将《中华人民共和国外资保险公司管理条例》第四条中的“中国保险监督管理委员会（以下简称中国保监会）”、“中国保监会”修改为“国务院保险监督管理机构”，第五条至第十五条、第十八条至第二十三条、第二十五条至第二十九条、第三十一条至第三十七条中的“中国保监会”修改为“国务院保险监督管理机构”。

I. In Article 4 of the Regulation of the People's Republic of China on the Administration of Foreign-Funded Insurance Companies, “China Insurance Regulatory Commission (hereinafter referred to as the ‘CIRC') and “the CIRC” are replaced with “the insurance regulatory authority of the State Council.” In Article 5 through Article 15, Article 18 through Article 23, Article 25 through Article 29, and Article 31 through Article 37, “the CIRC” is replaced with “the insurance regulatory authority of the State Council.”

删去第八条第一项和第二项。

Subparagraphs (1) and (2) of Article 8 are deleted.

第十二条第二款中的“工商行政管理机关”修改为“市场监督管理部门”。

In paragraph 2 of Articles 12, “the administrative department for industry and commerce” is replaced with “the market regulatory department.”

第三十九条修改为：“香港特别行政区、澳门特别行政区和台湾地区的保险公司在内地（大陆）设立和营业的保险公司，比照适用本条例。”

Article 39 is amended to read: “This Regulation shall apply, mutatis mutandis, to insurance companies formed in the mainland by insurance companies from the Hong Kong Special Administrative Region, the Macao Special Administrative Region and the Taiwan Region and operating in the mainland.”

增加一条，作为第四十条：“外国保险集团公司可以在中国境内设立外资保险公司，具体管理办法由国务院保险监督管理机构依照本条例的原则制定。”

One article is added as Article 40: “A foreign insurance group company may form a foreign-funded insurance company within the territory of China, and the specific administrative measures shall be developed by the insurance regulatory authority of the State Council according to the principles of this Regulation.”

增加一条，作为第四十一条：“境外金融机构可以入股外资保险公司，具体管理办法由国务院保险监督管理机构制定。”

One article is added as Article 41: “An overseas financial institution may hold shares of a foreign-funded insurance company, and the specific administrative measures shall be developed by the insurance regulatory authority of the State Council.”

二、删去《中华人民共和国外资银行管理条例》第十条第二项。

II. Subparagraph (2) of Article 10 of the Regulation of the People's Republic of China on the Administration of Foreign-Funded Banks is deleted.

将第十一条修改为：“拟设中外合资银行的股东除应当具备本条例第九条规定的条件外，其中外方股东应当为金融机构，且外方唯一或者主要股东还应当具备下列条件：

Article 11 is amended to read: “A shareholder of a Chinese-foreign equity joint venture bank to be formed shall meet the conditions as set out in Article 9 of this Regulation. In addition, a foreign shareholder shall be a financial institution, and the sole or principal foreign shareholder shall meet the following conditions:

“（一）为商业银行；

“(1) It is a commercial bank.

“（二）资本充足率符合所在国家或者地区金融监管当局以及国务院银行业监督管理机构的规定。”

“(2) Its capital adequacy ratio satisfies the requirements of the financial regulatory authority of the country or region where it is located and the banking regulatory authority of the State Council.”

......

第七十二条修改为：“香港特别行政区、澳门特别行政区和台湾地区的金融机构在内地（大陆）设立的银行机构，比照适用本条例。国务院另有规定的，依照其规定。”

Article 72 is amended to read: “This Regulation shall apply, mutatis mutandis, to the banking institutions formed in the mainland by financial institutions from the Hong Kong Special Administrative Region, the Macao Special Administrative Region and the Taiwan Region, unless it is otherwise prescribed by the State Council.”

此外，对相关行政法规中的条文序号作相应调整。

In addition, the numbering of clauses in relevant administrative regulations is adjusted accordingly.

本决定自公布之日起施行。

This Decision shall come into force on the date of issuance.
